General Terms & Conditions
1: DEFINITIONS

Calro Infotech a software development
Calro Infotech with its principal place of business at Dehradun Uttrakhand 248009 India.
- "Client" means the individual or organization engaging the
Calro Infotech's services.
- "Project" means the software development project undertaken by the
Calro Infotech for the Client.
- "Deliverables" means the software, documentation, and other materials delivered by the
Calro Infotech to the Client.
- "Intellectual Property Rights" means patents, copyrights, trademarks, trade secrets, and other intellectual property rights.
2: SCOPE OF WORK
- The
Calro Infotech will undertake the Project as described in the proposal or agreement.
- The Client will provide necessary information, resources, and support for the Project.
- The
Calro Infotech reserves the right to modify the scope of work if necessary.
3: PAYMENT TERMS
- The Client will pay to the
Calro Infotech according to the payment schedule outlined in the proposal or agreement.
- Late payments may incur interest or penalties.
- The
Calro Infotech reserves the right to suspend work if payments are not made on time.
4: INTELLECTUAL PROPERTY RIGHTS
- The
Calro Infotech retains ownership of all Intellectual Property Rights in the Deliverables.
- The Client receives a non-exclusive license to use the Deliverables.
- The Client may not sublicense, assign, or transfer the license without the
Calro Infotech's prior written consent.
5: CONFIDENTIALITY
- Both parties agree to maintain confidentiality of each other's proprietary information.
- Confidential information includes trade secrets, business strategies, and technical information.
6: WARRANTY AND LIABILITY
- The
Calro Infotech warrants that the Deliverables will function as described.
- The
Calro Infotech's liability is limited to the amount paid by the Client.
- The
Calro Infotech is not liable for consequential, indirect, or punitive damages.
7: TERMINATION
- Either party may terminate the agreement with written notice.
- The Client will pay for work completed prior to termination.
- The
Calro Infotech reserves the right to terminate if the Client breaches the agreement.
8: DISPUTE RESOLUTION
- Disputes will be resolved through mediation and arbitration.
- The parties agree to negotiate in good faith to resolve disputes.
9: GOVERNING LAW
- The agreement will be governed by and construed in accordance with [uttrakhand/India] law.
10: ENTIRE AGREEMENT
- This agreement constitutes the entire understanding between the parties.
- The agreement supersedes all prior negotiations, understandings, and agreements.
11: AMENDMENTS
- The agreement may be amended only in writing signed by both parties.
12: NOTICES
- Notices will be given in writing and delivered personally, by email , or by Mobile Numbers and certified information.
13: FORCE MAJEURE
- The
Calro Infotech is not liable for delays or failures caused by events beyond its control.
14: DATA PROTECTION
- The
Calro Infotech will comply with applicable data protection laws and regulations.
15: Project Timeline
Set deadlines for milestones, testing, and final delivery According Working Days.
Address any potential delays and how they’ll be handled.
