These Terms and Conditions ("Terms") govern your engagement with Calro Infotech ("we," "us," or "our"), a software development company registered in Dehradun, Uttarakhand, India (GSTIN: 05AXKPA3061C1Z5). By contacting us, accepting a proposal, or entering into a service agreement, you agree to these Terms.
1. Services Offered
We provide custom software development and related IT services, including but not limited to:
Custom web, mobile, and desktop application development
UI/UX design and prototyping
Cloud infrastructure setup (AWS, Azure, GCP)
DevOps, CI/CD pipeline implementation
AI/ML model development and integration
Blockchain and Web3 solutions
Ongoing maintenance and technical support
All services are provided under a separate **Statement of Work (SOW)** or written agreement.
2. Client Responsibilities
You agree to:
Provide timely feedback and approvals during project phases
Supply necessary content, assets, or access credentials
Maintain backups of your own data
Comply with applicable laws (e.g., data protection, intellectual property)
3. Intellectual Property
Upon full payment of all fees:
All **deliverables** (source code, designs, documentation) created specifically for your project are assigned to you.
**Pre-existing materials** (libraries, frameworks, tools, templates) remain the property of their respective owners.
We retain the right to showcase completed projects in our portfolio unless otherwise agreed in writing.
4. Payment Terms
Payment terms (e.g., 30% advance, milestone-based, or fixed quote) will be specified in your project proposal.
All payments are **exclusive of GST** (GSTIN: 05AXKPA3061C1Z5). GST will be added as per Indian tax law.
Payments are due within **15 days** of invoice date.
Late payments incur interest at **1.5% per month**.
5. Confidentiality
Both parties agree to keep all shared information (business, technical, financial) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.
6. Warranties and Limitations
We warrant that services will be performed with reasonable skill and care.
We do **not** guarantee uninterrupted, error-free operation of software post-delivery.
Our liability is limited to the **total fees paid** for the specific project.
We are **not liable** for indirect, incidental, or consequential damages.
7. Termination
Either party may terminate the agreement with **15 days’ written notice**. Upon termination:
You pay for all completed work and expenses incurred.
We deliver completed deliverables upon full payment.
8. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the **exclusive jurisdiction of courts in Dehradun, Uttarakhand**.
9. Entire Agreement
These Terms, together with your signed SOW or proposal, constitute the entire agreement between you and Calro Infotech and supersede all prior discussions.
